Welcome to Prosper Online. These Terms of Service ("Terms", "Terms of Service") govern your use of our website located at https://prosperonline.com (the "Website") and our mobile application ("Mobile Application"), collectively referred to as the "Service", operated by Prosper Online, LLC ("us", "we", or "our").

Please read these Terms of Service carefully before using our Website and Mobile Application. Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who wish to access or use the Service.

1. Accounts

The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Prosper Online.

3. User Contributions

The Service may contain message boards, chat rooms, personal web pages or profiles, forums, bulletin boards, and other interactive features (collectively, "Interactive Services") that allow users to post, submit, publish, display, or transmit to other users or other persons content or materials (collectively, "User Contributions") on or through the Service.

All User Contributions must comply with the Content Standards set out in these Terms of Service.

Any User Contribution you post to the site will be considered non-confidential and non-proprietary. By providing any User Contribution on the Service, you grant us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns the right to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for any purpose/according to your account settings.

4. Mobile Application License

4.1 License

We grant you a revocable, non-exclusive, non-transferable, limited right to install and use the mobile application on wireless electronic devices owned or controlled by you, and to access and use the mobile application on such devices strictly in accordance with the terms and conditions of this mobile application license contained in these Terms of Service.

4.2 Restrictions

You shall not:

Decompile, reverse engineer, disassemble, attempt to derive the source code of, or decrypt the application;Make any modification, adaptation, improvement, enhancement, translation, or derivative work from the application;Violate any applicable laws, rules, or regulations in connection with your access or use of the application;Remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) posted by us or the licensors of the application;Use the application for any revenue-generating endeavor, commercial enterprise, or other purpose for which it is not designed or intended;Make the application available over a network or other environment permitting access or use by multiple devices or users at the same time.

4.3 Mobile Application from Apple App Store

The following applies to any Mobile Application you acquire from the Apple App Store ("Apple-Sourced Software"): You acknowledge and agree that these Terms of Service are solely between you and Prosper Online, not Apple, and that Apple has no responsibility for the Apple-Sourced Software or content thereof. Your use of the Apple-Sourced Software must comply with the App Store Terms of Service. You acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Apple-Sourced Software.

4.4 Mobile Application from Google Play Store

The following applies to any Mobile Application you acquire from the Google Play Store ("Google-Sourced Software"): You acknowledge that these Terms of Service are between you and Prosper Online only, and not with Google. Google is not responsible for the Google-Sourced Software and the content thereof.

5. Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Service at any time or for any reason at our sole discretion without notice. We also reserve the right to modify or discontinue all or part of the Service without notice at any time.

We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Service.

6. Governing Law

These Terms shall be governed and construed in accordance with the laws of Texas, United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

7. Changes to Terms of Service

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
